{"id":49129,"date":"2026-04-22T00:20:47","date_gmt":"2026-04-21T21:20:47","guid":{"rendered":"https:\/\/mk.gen.tr\/two-harbors-hit-with-shareholder-lawsuit-over-ccm-acquisition\/"},"modified":"2026-04-22T00:20:47","modified_gmt":"2026-04-21T21:20:47","slug":"two-harbors-hit-with-shareholder-lawsuit-over-ccm-acquisition","status":"publish","type":"post","link":"https:\/\/mk.gen.tr\/tr\/two-harbors-hit-with-shareholder-lawsuit-over-ccm-acquisition\/","title":{"rendered":"Two Harbors hit with shareholder lawsuit over CCM acquisition"},"content":{"rendered":"<p>Shareholder Michael Koblentz filed another lawsuit against <strong>Two Harbors Investment Corp. <\/strong>and its board of directors, alleging violations of the Securities Exchange Act tied to the company\u2019s <a href=\"https:\/\/www.housingwire.com\/articles\/two-harbors-crosscountry-1080\/\">pending acquisition<\/a> by <strong>CrossCountry Intermediate Holdco<\/strong> (CCM).<\/p>\n<p>Koblentz previously <a href=\"https:\/\/www.housingwire.com\/articles\/two-harbors-uwm-sec\/\">filed a similar suit<\/a> targeting Two Harbors\u2019 original merger agreement with <strong>UWM Holdings Corp.<\/strong> (UWMC), which was closed after it <a href=\"https:\/\/www.housingwire.com\/articles\/uwm-two-harbors-bid\/\">lost a bidding war<\/a> to CCM.<\/p>\n<p>Filed April 17 in an Illinois federal court, the new complaint claims <a href=\"https:\/\/www.housingwire.com\/tag\/two-harbors-investment-corp\/\">Two Harbors<\/a> submitted \u201cmaterially incomplete and misleading\u201d financial disclosures. It also alleges the board agreed to unfair deal protections and that executives timed stock trades to personally benefit from the <a href=\"https:\/\/www.housingwire.com\/articles\/mortgage-ma-2026-forecast\/\">mergers and acquisitions<\/a> activity.<\/p>\n<p>The lawsuit names Two Harbors chairman Stephen Kasnet and president and CEO William Greenberg as defendants.<\/p>\n<p>According to the complaint, the <a href=\"https:\/\/www.housingwire.com\/company\/crosscountry-mortgage\/\">CCM<\/a> agreement contains \u201cpreclusive deal protection devices\u201d designed to block competing offers and make the transaction a \u201cfait accompli.\u201d As an example, the plaintiff points to $25.4 million that Two Harbors must pay CCM if the deal collapses \u2014 a fee explicitly designed to reimburse CCM for covering the breakup fee Two Harbors owed to UWM.<\/p>\n<p>The plaintiff also raises questions about whether company executives may have traded shares around the UWMC deal\u2019s announcement to \u201cmaximize their profits.\u201d<\/p>\n<p>\u201cRegardless of whether the Company elected to pursue a transaction with UWMC or CrossCountry, the timing of the Rule 10b5-1 sales and whether such timing may have influenced Greenberg or the Board to pursue strategic alternatives to maximize their own individual profits or interests and avoid their respective options being devalued or less optimized is material,\u201d the lawsuit states.\u00a0<\/p>\n<p>CCM and Two Harbors declined to comment when reached by <strong>HousingWire<\/strong>.<\/p>\n<p>UWM initially announced an all-equity agreement to acquire Two Harbors in December.
